These Terms of Service (“Terms”) govern your access to and use of the Network In Action (“NIA,” “we,” “our,” or “us”) website, mobile applications, and related services (collectively, the “Services”).

By accessing or using the Services, you agree to be legally bound by these Terms. If you do not agree, you may not access or use the Services.


1. Eligibility

The Services are intended solely for adult business professionals.

By creating an account or using the Services, you represent and warrant that:

  • You are at least 18 years of age;
  • You have the legal authority to enter into binding agreements; and
  • You are using the Services for lawful business and professional purposes.

NIA does not knowingly permit individuals under the age of 18 to create accounts.


2. Children’s Privacy (COPPA Compliance)

The Services are not directed to children under the age of 13.

NIA does not knowingly collect, use, or disclose personal information from children under 13 in violation of the Children’s Online Privacy Protection Act (COPPA).

If we become aware that personal information from a child under 13 has been collected, we will promptly delete such information.

3. Account Types

A. NIA Member Accounts

Membership accounts are created through an onboarding process facilitated by authorized group leaders, community builders, or franchisees.

Members may have access to:

  • Group message boards
  • Status updates
  • Commenting features
  • Referral tools
  • Additional networking features

B. NIAX Accounts

NIAX accounts may be created through self-registration.

NIAX users:

  • Do not have access to social posting features;
  • Do not have access to community messaging tools within the mobile application;
  • May submit referrals and receive incentive payments; and
  • Have limited access compared to full NIA Members.

NIA reserves the right to modify account access levels at any time.


4. User Content & Social Features

Members may post content including status updates, comments, and other materials (“User Content”).

You agree that:

  • You are solely responsible for your User Content;
  • Your content must remain professional and business-focused; and
  • You will not post unlawful, defamatory, harassing, hateful, sexually explicit, or misleading material.

NIA reserves the right, but not the obligation, to monitor, remove, restrict, or moderate User Content and to suspend or terminate accounts that violate these Terms.

By posting User Content, you grant NIA a non-exclusive, worldwide, royalty-free license to host, store, display, and distribute such content for the purpose of operating, improving, maintaining and providing the Services.


5. Referrals & Incentive Payments

NIA and NIAX users may submit referrals through the platform.

Incentive payments may be processed through authorized third-party providers, including Stripe and PayPal.

Payments are subject to:

  • Verification of successful transactions;
  • Compliance with applicable laws and regulations; and
  • Platform rules and incentive structures.

NIA does not guarantee payment amounts, timing, or eligibility.

Users are solely responsible for reporting and paying any applicable taxes.


6. Platform Role, Referrals, and Service Providers

A. Role of Network In Action

NIA operates solely as a professional networking and referral facilitation platform.

NIA does not:

  • Provide professional, trade, or consulting services;
  • Employ service providers listed on the platform; or
  • Act as an agent, broker, or guarantor for any member.

All services performed by members or referred providers are delivered independently and outside of NIA’s control.

B. No Employment or Agency Relationship

Nothing in these Terms creates any partnership, joint venture, employment, or agency relationship between NIA and any user, member, or service provider.

Each member operates as an independent business entity.

C. Background Checks Disclaimer

NIA may require limited background checks on certain representatives of member businesses.

However:

  • Such checks may be limited in scope;
  • This does not guarantee that the individual performing work at your location has been personally screened;
  • They may not include all individuals associated with a business; and
  • They do not guarantee safety, quality, or performance.

NIA expressly disclaims all liability for the acts or omissions of service providers and their personnel.

D. Payments Between Members and Providers

Except for referral incentive payments administered through authorized payment processors, NIA does not handle, manage, or process payments between users and service providers.

All agreements, fees, invoices, and payments for services are solely between the parties involved.

NIA is not responsible for disputes, nonpayment, chargebacks, or service failures.

E. Referral Incentives and Commission Structure

Referral incentives are subject to:

  • Verification of completed and paid business;
  • Platform rules in effect at the time of referral acceptance; and
  • Commission structures established by participating providers.

Business providers may modify commission terms at their discretion.

NIA does not guarantee any referral outcome, acceptance, or payment.

F. Reviews and Feedback

Users may submit reviews or feedback regarding services received.

NIA reserves the right to moderate, edit, remove, or restrict reviews that violate platform policies or applicable laws.

NIA is not responsible for the accuracy, completeness, or reliability of user-generated reviews.

G. No Guarantees or Warranties Regarding Providers

NIA makes no warranties or representations regarding:

  • The quality of services;
  • Provider qualifications;
  • Availability;
  • Pricing; or
  • Results.

All interactions, contracts, and transactions occur solely between the involved parties.

H. Indemnification

You agree to indemnify, defend, and hold harmless NIA, its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, losses, and expenses arising out of:

  • Your use of the Services;
  • Your referrals;
  • Your interactions with other users;
  • Your violation of these Terms; or
  • Your business activities conducted through the platform.

This indemnification obligation survives termination of your account.


7. Acceptable Use

You agree not to:

  • Violate any applicable laws or regulations;
  • Attempt unauthorized access to any system;
  • Engage in fraudulent or deceptive activity;
  • Interfere with platform operations;
  • Impersonate any person or entity; or
  • Exploit or harm minors in any manner.

NIA may suspend or terminate accounts at its sole discretion for violations of these Terms.


8. Data Use, Scraping, and Profile Privacy

A. Prohibited Data Collection

You agree not to:

  • Use automated tools, bots, scripts, scrapers, crawlers, or similar technologies to access or extract data;
  • Collect personal, business, or contact information without express permission;
  • Reproduce, resell, distribute, or exploit user information; or
  • Circumvent access controls, privacy settings, or security features.

Unauthorized data collection is strictly prohibited.

B. Technical Limitations

While NIA employs reasonable security measures, no system is completely immune from unauthorized access.

You acknowledge that technical protections may not prevent all misuse or unauthorized activity.

C. Member-Controlled Profile Visibility

NIA provides tools allowing members to manage the visibility of profile information.

Members may control whether specific fields are visible to:

  • The public
  • Other members
  • Group administrators
  • Platform administrators

It is your responsibility to review and manage these settings.

D. User Responsibility for Shared Information

You acknowledge that:

  • You are solely responsible for information you choose to share;
  • Information made visible to others may be viewed, copied, or referenced by authorized users; and
  • You assume all risks associated with such sharing.

NIA is not responsible for information obtained by third parties through lawful access to user profiles.

E. Enforcement

NIA may monitor for unauthorized data collection and may restrict, suspend, terminate accounts, or pursue legal remedies for violations.


9. Third-Party Services

The Services may integrate with third-party providers.

NIA is not responsible for third-party policies, data handling practices, or service availability.

Your use of third-party services is governed by their respective terms and conditions.


10. Intellectual Property

All content, software, branding, trademarks, and materials are owned by NIA or its licensors.

You may not copy, reproduce, distribute, modify, or reverse engineer any portion of the Services without prior written consent.


11. Reservation of Rights

NIA reserves the right to modify, suspend, discontinue, or restrict any part of the Services at any time, with or without notice. NIA shall not be liable for any modification, suspension, or discontinuation of any feature or service.


12. Disclaimers

The Services are provided “AS IS” and “AS AVAILABLE.”

NIA makes no warranties regarding:

  • Business results;
  • Referral outcomes;
  • Income potential;
  • Platform availability; or
  • Uninterrupted access.

Use of the Services is at your own risk.

No Professional Advice

The Services may include information related to business, marketing, finance, or professional practices. Such information is provided for general informational purposes only and does not constitute legal, financial, tax, or professional advice. Users should consult qualified professionals before making business decisions.


13. Limitation of Liability

To the maximum extent permitted by law, NIA shall not be liable for indirect, incidental, consequential, or special damages, including lost profits, data loss, or business interruption.

NIA’s total liability shall not exceed the amount paid by you to NIA in the preceding twelve (12) months.


14. Force Majeure

NIA shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, power failures, internet outages, labor disputes, government actions, or third-party service failures.


15. Termination

NIA may suspend or terminate accounts for violations, non-payment, misconduct, or suspected fraud.

Upon termination, access to the Services may be revoked immediately.


16. Dispute Resolution and Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in Harris County, Texas, in accordance with the rules of the American Arbitration Association.

You waive any right to participate in class actions or class-wide arbitration.

Disputes shall be resolved through binding arbitration except where prohibited by law.


17. Privacy

Your use of the Services is subject to NIA’s Privacy Policy.


18. Modifications

NIA may update these Terms at any time.

Continued use of the Services constitutes acceptance of the revised Terms.


19. Entire Agreement

These Terms, together with NIA’s Privacy Policy and any policies expressly incorporated by reference (including, without limitation, any community guidelines, rules, or codes of conduct posted within the Services), constitute the entire agreement between you and NIA regarding the Services and supersede all prior agreements, communications, and understandings.
